Large Volume Program Clause Samples

The Large Volume Program clause establishes terms and conditions for customers or participants who purchase or use products or services in significant quantities. Typically, this clause outlines eligibility criteria, potential discounts, special pricing, or additional benefits that apply when certain volume thresholds are met, and may also specify reporting or verification requirements. Its core practical function is to incentivize higher purchase volumes by offering favorable terms, while also providing clarity and structure to both parties regarding expectations and benefits associated with large-scale transactions.
Large Volume Program. Upon request by the Purchaser, the Contractor will destroy large volumes of Documents. Large Volume requests will be on an as, if and when requested basis. • The minimum volume and corresponding weight for the Large Volume Program is 200 File Boxes (6,000 lbs.) from a single location. • The Purchaser will have the Documents ready for pick up in Purchaser-supplied, non-returnable File Boxes that are taped securely closed, stacked on pallets and securely shrink wrapped, and marked clearly for document destruction. • The Contractor is responsible for loading all File Boxes on pallets for transport. • The Contractor will replenish all pallets with the same amount taken away at time of pick up, at the request of the Purchaser as confirmed by the Contractor at the time of the request for the Services, otherwise the Contractor need not replenish any pallets if the Purchaser declines this option.
Large Volume Program. Purchasers may request that the Contractor pick-up, transport and destroy large volume shipments of records on an as, if and when requested only basis. • The Contractor is not obliged to accept quantities of less than 330 boxes (4,545 kg / 10,000 lbs.) from a single location. • The Purchaser will have the records ready for pick up in Purchaser-supplied, non-returnable file type boxes that are taped securely closed, stacked on pallets and securely shrink wrapped, and marked clearly for document destruction. • The Contractor is responsible for loading all document containers or pallets for transport. If pallets are used the Contractor will replenish them at time of pick up.

  • Distribution Compliance Period The Purchaser agrees not to resell, pledge or transfer any Purchased Shares within the United States or to any U.S. Person, as each of those terms is defined in Regulation S, during the 40 days following the Closing Date.

  • Unbundled Channelization (Multiplexing) 5.7.1 To the extent NewPhone is purchasing DS1 or DS3 or STS-1 Dedicated Transport pursuant to this Agreement, Unbundled Channelization (UC) provides the optional multiplexing capability that will allow a DS1 (1.544 Mbps) or DS3 (44.736 Mbps) or STS-1 (51.84 Mbps) Network Elements to be multiplexed or channelized at a BellSouth central office. Channelization can be accomplished through the use of a multiplexer or a digital cross-connect system at the discretion of BellSouth. Once UC has been installed, NewPhone may request channel activation on a channelized facility and BellSouth shall connect the requested facilities via COCIs. The COCI must be compatible with the lower capacity facility and ordered with the lower capacity facility. This service is available as defined in NECA 4. 5.7.2 BellSouth shall make available the following channelization systems and interfaces: 5.7.2.1 DS1 Channelization System: channelizes a DS1 signal into a maximum of twenty- four (24)

  • Power Factor Design Criteria (Reactive Power A wind generating plant shall maintain a power factor within the range of 0.95 leading to 0.95 lagging, measured at the Point of Interconnection as defined in this LGIA, if the ISO’s System Reliability Impact Study shows that such a requirement is necessary to ensure safety or reliability. The power factor range standards can be met using, for example without limitation, power electronics designed to supply this level of reactive capability (taking into account any limitations due to voltage level, real power output, etc.) or fixed and switched capacitors if agreed to by the Connecting Transmission Owner for the Transmission District to which the wind generating plant will be interconnected, or a combination of the two. The Developer shall not disable power factor equipment while the wind plant is in operation. Wind plants shall also be able to provide sufficient dynamic voltage support in lieu of the power system stabilizer and automatic voltage regulation at the generator excitation system if the System Reliability Impact Study shows this to be required for system safety or reliability.

  • Adjustment of Minimum Quarterly Distribution and Target Distribution Levels (a) The Minimum Quarterly Distribution, First Target Distribution, Second Target Distribution, Third Target Distribution, Common Unit Arrearages and Cumulative Common Unit Arrearages shall be proportionately adjusted in the event of any distribution, combination or subdivision (whether effected by a distribution payable in Units or otherwise) of Units or other Partnership Securities in accordance with Section 5.10. In the event of a distribution of Available Cash that is deemed to be from Capital Surplus, the then applicable Minimum Quarterly Distribution, First Target Distribution, Second Target Distribution and Third Target Distribution, shall be adjusted proportionately downward to equal the product obtained by multiplying the otherwise applicable Minimum Quarterly Distribution, First Target Distribution, Second Target Distribution and Third Target Distribution, as the case may be, by a fraction of which the numerator is the Unrecovered Capital of the Common Units immediately after giving effect to such distribution and of which the denominator is the Unrecovered Capital of the Common Units immediately prior to giving effect to such distribution. (b) The Minimum Quarterly Distribution, First Target Distribution, Second Target Distribution and Third Target Distribution, shall also be subject to adjustment pursuant to Section 6.9.
