Common use of Landlords’/Bailee’s/Processor’s Waivers Clause in Contracts

Landlords’/Bailee’s/Processor’s Waivers. No later than sixty (60) days after the Closing Date, the Borrower shall use commercially reasonable efforts to deliver a Landlord’s, Bailee’s or Processor’s Waiver, in form and substance satisfactory to the Administrative Agent, for each location of a Credit Party where any of the collateral securing any part of the Obligations is located, unless such location is owned by the Company that owns the collateral located there; provided that the Borrower shall not be required to deliver a Landlord’s, Bailee’s or Processor’s Waiver with respect to any such location if it would not be required to deliver a Landlord’s, Bailee’s or Processor’s Waiver pursuant to Section 5.21(e) hereof.
