Lafarge S. A. shall own directly or indirectly 50% or less of the outstanding shares of Voting Stock of the Company on a fully diluted basis; or the Company shall own directly or indirectly 50% or less of the outstanding shares of Voting Stock of any Borrower on a fully diluted basis; or

Lafarge S. A. hereby agrees to execute and deliver to Asset Acquiror and Lafarge Canada at Closing, a Guarantee, in substantially the form and content attached as Schedule 8.3(e) (the "GUARANTEE").
