Knowhow Clause Samples

The Knowhow clause defines the ownership, use, and protection of specialized knowledge, techniques, or expertise that a party brings to or develops during a contractual relationship. Typically, this clause clarifies whether such knowhow remains the property of the originating party or if it can be shared, licensed, or used by others involved in the agreement. For example, it may specify that proprietary manufacturing processes or confidential business methods are not to be disclosed or used outside the scope of the contract. Knowhow. The technology, formulae, methods and procedures developed by NTI at considerable expense over a period of many years, which are unique in nature and essential or useful in the proper use and application of the Process, together with all improvements and modifications with respect thereto.
