Common use of Key Persons Clause in Contracts

Key Persons. The parties agree that the individuals designated in the Contractor’s proposal as Key Persons are essential to the services offered pursuant to this Agreement. The parties agree that the Contractor will not transfer or reassign such individual or individuals without the express written consent of the City, which consent shall not be unreasonably withheld. Should such individual or individuals no longer be employed by the Contractor during the term of the Agreement, the Contractor shall present to the City an individual with greater or equal qualifications as a replacement, subject to the City’s approval which shall not be unreasonably withheld. The City’s approval shall not be construed to release the Contractor from its obligations under this Agreement.
