JOINT AND SEVERAL REPRESENTATIONS AND WARRANTIES
OF THE SHAREHOLDERS. Subject to the exceptions set forth in the disclosure letter of the Shareholders delivered to Purchaser concurrently with the Parties' execution of this Agreement (the "Shareholder Disclosure Letter"), each of the Shareholders hereby, jointly and severally, represents and warrants to Purchaser as follows:

OF THE SHAREHOLDERS. In order to induce Buyer to enter into this Agreement, and acknowledging that Buyer has relied upon the representations and warranties contained herein, the Shareholders, jointly and severally, make the following representations and warranties to Buyer, each of which is true and correct on the date hereof, shall be unaffected by any investigation heretofore or hereafter made by Buyer, or any knowledge of Buyer other than as specifically disclosed in the Disclosure Schedule delivered to Buyer at the time of the execution of this Agreement, and shall survive the Closing of the transactions provided for herein.
