Investor’s Conditions to Closing. The Investor’s obligation to purchase the Shares at the Closing is subject to the fulfillment as of the Closing of the following conditions (unless waived in writing by the Investor):

Investor’s Conditions to Closing. The Investor's obligations hereunder are subject to fulfillment of the conditions that the representations and warranties of the Company contained in this Agreement shall be true and correct on the closing date.
