Common use of Investment Guidelines and Directives Clause in Contracts

Investment Guidelines and Directives. Prior to the occurrence of a Change in Control, and subject to the Company's authority to appoint an investment manager, the Trustee shall manage, acquire, or dispose of the assets of the Trust in accordance with this Agreement and the directions of the Company or its designee. To the extent permitted by law, the Trustee shall not be liable for any investment made pursuant to the Company's or its designee's direction.
