Common use of Inventions and Patents Clause in Contracts

Inventions and Patents. Executive acknowledges that all inventions, innovations, improvements, developments, methods, designs, analyses, drawings, reports and all similar or related information (whether or not patentable) which relate to the Company’s or any of its subsidiaries’ actual or anticipated business, research and development or existing or future products or services and which are conceived, developed or made by Executive while providing services the Company, its subsidiaries (“Work Product”) belong to the Company or such subsidiary. Executive shall promptly disclose such Work Product to the Board and perform all actions requested by the Board (whether during or after the Employment Period) to establish and confirm such ownership (including, without limitation, executing assignments, consents, powers of attorney and other instruments).

Executive shall will promptly disclose such Work Product to the Board and perform all actions reasonably requested by the Board (whether during or after the Employment Period) to establish and confirm such ownership (including, without limitation, executing assignments, consents, powers of attorney and other instruments).

The Executive shall will promptly disclose such Work Product to the Board of Advisors and perform all actions reasonably requested by the Board of Advisors (whether during or after the Employment PeriodExecutive's employment period) to establish and confirm such ownership (including, without limitation, executing assignments, consents, powers of attorney and other instruments).

Executive acknowledges agrees that all inventions, innovations, improvements, developments, methods, designs, analyses, drawings, reports reports, and all similar or related information (whether or not patentable) which relate relates to the Company’s FANB's or any of its subsidiaries’ ' actual or anticipated business, research and development or existing or future products or services and which are conceived, developed or made by Executive while providing services the Company, employed by FANB and/or its subsidiaries (“"Work Product”") belong to the Company FANB or such subsidiary. Executive shall will promptly disclose such Work Product to the Board and perform all actions reasonably requested by the Board (whether during or after the Employment Period) to establish and confirm such ownership (including, without limitation, executing assignments, consents, powers of attorney and other instruments).
