Common use of Intangible Personal Property Clause in Contracts

Intangible Personal Property. All Intellectual Property to the extent used or held for use in the conduct of the Business (including Seller's or its applicable subsidiaries, goodwill therein) and all rights, privileges, claims, causes of action and options relating or pertaining to the Business or the Assets, including but not limited to the items set forth on Schedule 1(a)(ix) (the "Intangible Personal Property"); provided, however, that the extent to which any such Asset relates to the Remaining Businesses shall be expressly noted on such Schedule and if not so noted shall be an Asset;

Intangible Personal Property. All Intellectual Property to the extent used or held for use principally in connection with the conduct operation of the Business (including Seller's or its applicable subsidiaries, goodwill therein) Generating Assets and all rights, privileges, claims, causes of action and options relating or pertaining to the Business operation of the Generating Assets or the Assets, including but not limited to the items set forth on listed in Section 1.01(a)(vii) of the Disclosure Schedule 1(a)(ix) (the "Intangible Personal Property"); provided, however, that the extent to which any such Asset relates to the Remaining Businesses shall be expressly noted on such Schedule and if not so noted shall be an Asset;

All Intellectual Property to the extent used or held primarily for use in the conduct of the Business (including Seller's or its applicable subsidiaries, goodwill therein) and all rights, privileges, claims, causes of action and options relating or pertaining primarily to the Business or the AssetsBusiness, including but not limited to the items set forth on Schedule 1(a)(ixlisted in Section 2.01(a)(ix) (of the "Intangible Personal Property"); provided, however, that the extent to which any such Asset relates to the Remaining Businesses shall be expressly noted on such Schedule and if not so noted shall be an AssetDisclosure Schedule;
