Institutional and Implementation Arrangements. A. National Steering Committee 1. The Recipient shall maintain, at all times during the implementation of the Project, a National Steering Committee with a mandate, composition and resources satisfactory to the World Bank. 2. Without limitation upon the provisions of paragraph 1 of this Part A, the National Steering Committee shall be chaired by the Director of the Forestry Division of MAFFS and include as members the project manager referred to Part B.2 of this Section and representatives of the Forestry Division of MAFFS, the Ministry of Finance and Economic Development, the Ministry of Internal Affairs, Local Government and Rural Development, the Ministry of Lands, Country Planning and Environment, the Ministry of Fisheries and Marine Resources, the Ministry of Mineral Resources, the Ministry of Tourism and Cultural Affairs, the Sierra Leone Environmental Protection Agency/Board (or any successors to the aforesaid entities), a representative of local non-governmental organizations, a community representative from each conservation site and from other stakeholders as appropriate. 3. Without limitation upon the provisions of paragraph 1 of this Part A, the National Steering Committee shall meet twice yearly or more often if required and be responsible for, inter alia: (a) facilitating the coordination of Project activities among the entities represented on the committee; (b) providing strategic and policy direction on biodiversity conservation activities supported under the Project; (c) facilitating the removal of any obstacles to the implementation of the Project; and (d) reviewing and approving the Annual Work Plans and Budgets for the Project. Without limitation upon the provisions of paragraph 1 of this Part B, the Recipient shall maintain, at all times during the implementation of the Project, conservation site management teams for each conservation site selected for support under the Project: (a) headed by a conservation site manager and staffed by personnel in numbers and with qualifications, terms of reference and resources satisfactory to the World Bank; and (b) responsible for the planning and management of conservation, information and outreach activities in the respective conservation sites selected for support under the Project, and for reporting to the project manager and the World Bank on all matters pertaining to the implementation of Project activities and the use of the proceeds of the Grant in respect of the relevant conservation site. 4. Without limitation upon the provisions of paragraph 1 of this Part B, the Recipient shall maintain, at all times during the implementation of the Project, conservation site management committees for each conservation site selected for support under the Project: (a) chaired by the chairperson of the relevant district council, and including as members the relevant conservation site manager and representatives of local communities, non-governmental organizations and other relevant stakeholders; and (b) responsible for guiding and facilitating the planning and coordination of Project activities in the respective conservation site.

2. Without limitation upon the provisions of paragraph 1 of this Part B, the Recipient shall maintain, at all times during the implementation of the Project, a project management team within the Forestry Division of MAFFS: (a) headed implementation unit, chaired by a project manager qualified Project director with qualification, experience and terms of reference satisfactory to the Association and staffed by with competent personnel in adequate numbers and with qualificationsqualification, experience, and terms of reference and resources satisfactory to the World Bank; Association (“Project Implementation Unit”), which unit shall be granted the functions, decision making-powers and -sufficient resources, as agreed with the Association, for the carrying out of the Project, including its planning, budgeting, technical coordination, implementation supervision, monitoring and evaluation, and environmental and social aspects;
(b) responsible for establish by no later than three (3) months after the day-to-day administration Effective Date, and monitoring thereafter maintain throughout the period of the Project and for reporting to the Director of the Forestry Division of MAFFS and the World Bank on all matters pertaining to the implementation of the Project and the use of the proceeds of the Grant.
3. Without limitation upon the provisions of paragraph 1 of this Part B, the Recipient shall maintain, at all times during the implementation of the Project, conservation site management teams a Project steering committee, chaired by its Director General and comprised of, inter alia, head of its Chancery and Project Implementation Unit’s Project director, as further detailed in the Project Operations Manual (the “Project Steering Committee”), which committee shall be responsible for each conservation site selected providing strategic guidance and oversight for support under the Project: overall design and implementation of Project activities; and
(ac) headed by maintain throughout the period of implementation of the Project a conservation site manager selection committee for RBGs, with composition, mandate, and staffed by personnel in numbers and with qualifications, terms of reference and resources satisfactory acceptable to the World Bank; and Association, as further detailed in the Project Operations Manual (b) the “Regional Block Grant Investment Selection Committee”), which committee shall be responsible for the planning and management of conservation, information and outreach activities in the respective conservation sites selected for support under the Projectreviewing applications for, and for reporting to the project manager and the World Bank on all matters pertaining to the implementation of Project activities and the use of the proceeds of the Grant in respect of the relevant conservation siteawarding of, RBGs.

Without limitation upon the provisions of paragraph 1 of this Part B, the Recipient shall maintain, at all times during the implementation of the Project, conservation site management committees for each conservation site selected for support under the Project: (a) chaired by the chairperson of the relevant district council, and including as members the relevant conservation site manager and representatives of local communities, non-governmental organizations and other relevant stakeholders; and (b) responsible for guiding and facilitating the planning and coordination of Project activities in the respective conservation site.

4. Without limitation upon the provisions of paragraph 1 of this Part B, the Recipient shall maintain, at all times during the implementation of the Project, under terms of reference acceptable to the World Bank, a conservation site management committees committee for each conservation site selected for support under the Project: (a) chaired by the chairperson of the relevant district council, and including as members the relevant conservation site manager referred to in paragraph 3 of this Part B and representatives of local communities, non-governmental organizations and other relevant stakeholders; and (b) to be responsible for guiding and facilitating the planning and coordination of Project activities in the respective conservation site.

3. Without limitation upon The Project Implementing Entity shall:
(i) maintain throughout the provisions period of paragraph 1 of this Part AProject implementation, the National Project Steering Committee Committee, chaired by the Chairman of the governing body of AHIDMS; which committee shall meet twice yearly or more often if required have composition, functions and responsibilities acceptable to the Bank, including providing oversight on Project implementation; approving and monitoring annual work plans and budgets; and approving the Operational Manual;
(ii) maintain throughout the period of Project implementation, the Project Executive Committee, chaired by the Chairman of the executive committee of AHIDMS; which committee shall have composition, functions and responsibilities acceptable to the Bank, including providing regular monitoring and necessary approvals for day-to-day implementation of the Project;
(iii) maintain throughout the period of Project implementation, the State Project Management Unit (“SPMU”), headed by a Project director and comprising of experienced and qualified staff and consultants, in sufficient numbers and under terms of reference acceptable to the Bank, which shall be responsible forfor day-to- day Project implementation and monitoring, and shall have functions and responsibilities acceptable to the Bank, including, inter alia: (a) facilitating the coordination of preparing Annual Work Plans and Budgets and ensuring all Project activities among the entities represented on the committeeare planned, financed and implemented accordingly; (b) providing strategic preparing the Operational Manual and policy direction on biodiversity conservation activities supported under ensuring Project implementation is in accordance with the ProjectOperational Manual; (c) facilitating ensuring that procurement and financial management activities are carried out in timely manner in accordance with the removal Operational Manual; (d) ensuring compliance with the ESCP; (e) monitoring Project activities; and (f) preparing Project progress reports and ensuring their timely submission to the Bank;
(iv) not later than three (3) months after the Effective Date, recruit, and maintain until the date set forth in the Operational Manual, a Project management and technical agency, under terms of any obstacles reference and with qualifications and experience acceptable to the Bank, to provide fiduciary and technical support to the SPMU for the implementation of the Project; ;
(v) not later than three (3) months after the Effective Date, recruit, and (d) reviewing and approving the Annual Work Plans and Budgets for the Project.
B. Forestry Division; maintain throughout Project Management Team; Conservation Site Management Teams and Committees
1. The Forestry Division of MAFFS shall be responsible for the overall implementation of the Project.
2. Without limitation upon the provisions of paragraph 1 of this Part Bimplementation, the Recipient shall maintainan external verification agency, at all times during the implementation of the Project, a project management team within the Forestry Division of MAFFS: (a) headed by a project manager and staffed by personnel in numbers and with qualifications, under terms of reference and resources satisfactory with qualifications and experience acceptable to the World Bank, to verify the achievement of indicators/results achieved by the Beneficiaries under the Internal Performance Grant; and
(vi) without limitation of the provisions of Section 5.09 of the General Conditions, ensure: (i) that the audit of the Financial Statements referred to in Section 5.09(b)(i) of the General Conditions shall be carried out by independent auditors acceptable to the Bank; and (bii) responsible for that the day-to-day administration and monitoring audited Financial Statements are furnished to the Bank not later than nine (9) months after the end of the Project and for reporting to the Director of the Forestry Division of MAFFS and the World Bank on all matters pertaining to the implementation of the Project and the use of the proceeds of the GrantFiscal Year.
3. Without limitation upon the provisions of paragraph 1 of this Part B, the Recipient shall maintain, at all times during the implementation of the Project, conservation site management teams for each conservation site selected for support under the Project: (a) headed by a conservation site manager and staffed by personnel in numbers and with qualifications, terms of reference and resources satisfactory to the World Bank; and (b) responsible for the planning and management of conservation, information and outreach activities in the respective conservation sites selected for support under the Project, and for reporting to the project manager and the World Bank on all matters pertaining to the implementation of Project activities and the use of the proceeds of the Grant in respect of the relevant conservation site.
4.
