Initial Purchase and Sale of Common Stock. At the First Closing (as defined below) the Company will issue and sell to Pfizer, and Pfizer will purchase from the Company, 2,688,172 shares of Common Stock. The aggregate number of shares of Common Stock to be purchased at the First Closing is hereinafter referred to as the “Initial Shares”. The purchase price for each Initial Share shall be $1.86, which is the closing bid price of the Common Stock as reported on the Nasdaq Global Market as the 4:00 p.m. Eastern Time closing bid price on the business day preceding the execution of this Agreement, being August 10, 2007 (the “Initial Purchase Price”).

Initial Purchase and Sale of Common Stock. On the date hereof, the Company shall issue and sell to the Investor, and the Investor shall purchase from the Company 869,565 shares of Common Stock (the “Initial Shares”). The aggregate purchase price for the Initial Shares to be purchased by the Investor shall be $1,000,000 (the “Initial Purchase Price”). The closing of the purchase and sale of the Initial Shares (the “Initial Closing”) shall take place on the date hereof. At the Initial Closing, (i) the Company shall cause its transfer agent to issue and deliver the Initial Shares to the account of the Investor, either by delivering to the Investor a certificate registered in the Investor’s name representing the Initial Shares, or a statement evidencing the book entry of the Initial Shares registered in the Investor’s name, and (ii) upon receipt of confirmation of delivery and receipt of a treasury order by the Company to its transfer agent regarding the issuance and delivery of the Initial Shares, the Investor shall pay to the Company the Initial Purchase Price by wire transfer to an account designated in writing by the Company.
