Purchase and Sale of Company Shares. Upon and subject to the terms and conditions of this Agreement, at the Closing (as defined below) the Sellers shall sell, transfer, convey, assign and deliver to the Buyer, and the Buyer shall purchase, acquire and accept from the Sellers, the Company Shares.

Purchase and Sale of Company Shares. Subject to the terms and conditions set forth in this Agreement and in reliance upon the representations, warranties, covenants and conditions herein contained, on the Closing Date (as defined in section 3.1 hereof), the Selling Shareholders, hereby sell, convey, assign, transfer and deliver to Buyer, the Company Shares, free and clear of any and all liens or encumbrances of any nature whatsoever.

On the basis of the representations, warranties, covenants and other agreements contained herein and in the other Transaction Documents, and subject to the terms and conditions of this Agreement, at the Closing, the Purchaser shall purchase from the Seller, and the Seller shall sell, assign, transfer and convey to the Purchaser, free and clear of all Encumbrances, all of the Acquired Shares for an aggregate consideration as set forth in Section 1.2.

(a) Subject to the terms and conditions set forth in this Agreement, the Company hereby agrees to sell, transfer, convey, assign and deliver to the Purchaser at the Closing, and the Purchaser hereby agrees to purchase, accept and acquire from the Company at the Closing, 2,391,012 shares (the “Company Shares”) of the Company’s Common Stock, free and clear of all Liens.
