Delivery and Receipt. Unless otherwise explicitly provided for herein, all notices hereunder must be in writing and sent by hand delivery; or by U.S. postal service, such as first class mail or third class mail, postage prepaid; or by expedited mail courier service; or by electronic mail (e-mail); or by facsimile transmission, to the addresses set out below. Notices are deemed received and effective as follows: If hand-delivered, upon delivery; if sent by e-mail or facsimile transmission, upon sending; if mailed, upon the earlier of (i) receipt or (ii) three days after being deposited in the mail if mailed by first class postage or ten days after being deposited in the mail if mailed by third class postage. If the addressee provided for below rejects or otherwise refuses to accept the notice, or if the notice cannot be delivered because of a change in address for which no notice was appropriately given, then notice is effective upon the rejection, refusal or inability to deliver.
Delivery and Receipt. 19.1.1 Any communications to be made under or in connection with the Finance Documents shall be made in writing, may be made by letter or facsimile and shall be deemed to be given as follows:
(a) if by way of letter, when it has been left at the relevant address or two Business Days after being deposited in the post with postage prepaid in an envelope addressed to it at that address; and
(b) if by facsimile, when received in legible form, save that any notice delivered or received on a non-Business Day or after business hours shall be deemed to be given on the next Business Day at the place of delivery or receipt.
19.1.2 Any communication or document made or delivered to the Company in accordance with this Clause will be deemed to have been made or delivered to each of the Obligors.

Delivery and Receipt. 4.1. The Supplier shall deliver the Deliverables at the delivery address (“Delivery Address”) and on the date stated on the Order. The dates of delivery stated on the Order shall be observed at all times. Alcon Couvreur reserves the right to cancel the Order, in whole or in part, if the date is not observed.
4.2. Alcon Couvreur must be notified of any delay. Only Deliverables admitted in quality and quantity by Alcon Couvreur can be invoiced for. If not otherwise specified on the Order, the penalty for late delivery will be 1% of the amount of the Order (ex VAT) per calendar day of delay.
4.3. Unless stated otherwise in the Order, the Deliverables shall be delivered at the risks and at the costs of the Supplier to the Delivery Address (including off-loading and stacking). Ownership of the Deliverables shall be transferred at the delivery.
4.4. The Deliverables shall be accompanied by a note identifying the Supplier’s full name and address, the PO number, the description of the Deliverables, Alcon Couvreur’s product code, the quantity delivered per box and per pallet, as well as all markings required by Belgian and European regulations.
4.5. The acceptance of the delivered Deliverables shall, at the sole discretion of Alcon Couvreur, only take place after full inspection by Alcon Couvreur. The simple taking of delivery by the reception service cannot be regarded as acceptance.

Concurrently with the issuance and delivery by the Issuer of the Bonds, the Company has issued and delivered, or caused to be delivered, to the Trustee to hold in trust for the benefit of the Owners of the Bonds, but subject to the terms and conditions of this Agreement, $144,660,000 in principal amount of the First Mortgage Bonds, (i) maturing on the same date as the Bonds, (ii) bearing interest at the same rate and payable at the same times as the Bonds, (iii) containing redemption provisions correlative to Section 3.01 of the Indenture, and (iv) registered in the name of the Trustee or, subject to Section 6.11 of the Indenture, its nominee. The Trustee, for the benefit of the Owners from time to time of the Bonds, hereby acknowledges receipt of the First Mortgage Bonds and accepts the trusts imposed upon it by this Agreement.
