INCORPORATION OF MXXXX IMPCO LIMITED AND ITS SHARE CAPITAL. 2.1 The Parties hereby agree to incorporate the Joint Venture Company in accordance with the laws of India for the purpose of manufacturing the Products. Subject to the approval of the Registrar of Companies, Delhi and Haryana, the name of the company will be ‘MXXXX IMPCO Limited’ or such other name as may be agreed by the Parties. MXXXX will take all necessary steps for the incorporation of MXXXX IMPCO Limited.

Any agreement of merger, reorganization, consolidation, exchange or conversion or certificate of merger, certificate of conversion or other applicable certificate may be signed by a majority of the Trustees or an authorized officer of the Trust and facsimile signatures conveyed by electronic or telecommunication means shall be valid.
