GOVERNING LAW; VENUE; CONSENT TO JURISDICTION. This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon without regard to principles of conflicts of law. Any claim, action, suit or proceeding (collectively, “Claim”) involving Agency that arises from or relates to this Agreement shall be brought and conducted solely and exclusively within the Circuit Court of Xxxxxx County, for the State of Oregon or, if necessary, the United States District Court for the District of Oregon. Grantee expressly consents to the in personam jurisdiction of such courts. Notwithstanding the foregoing, Agency and the State of Oregon, as well as any other public-body party hereto, expressly reserve, and do not waive or limit any form of defense or immunity, whether sovereign immunity, governmental immunity, immunity based on the eleventh amendment to the Constitution of the United States or otherwise, from any Claim or from the jurisdiction of any court.

Any claim, action, suit suit, or proceeding (collectively, “Claim”) involving Agency the ORS 190 ENTITY that arises from or relates to this Agreement Contract shall be brought and conducted solely and exclusively within the Circuit Court of Xxxxxx Marion County, for the State of Oregon or, if necessary, the United States District Court for the District of Oregon. Grantee SUBGRANTEE expressly consents to the in personam jurisdiction of such courts. Notwithstanding the foregoing, Agency the ORS 190 ENTITY and the State of Oregon, as well as any other public-public- body party hereto, expressly reserve, and do not waive or limit any form of defense or immunity, whether sovereign immunity, governmental immunity, immunity based on the eleventh amendment to the Constitution of the United States States, or otherwise, from any Claim claim or from the jurisdiction of any court.
