Governing Law; Successors and Assigns. This Agreement shall be subject to, construed and governed by, the laws of the State of California without giving effect to such state's conflicts of law provisions. This Agreement may not be assigned, pledged, hypothecated or otherwise encumbered by the Borrower. Subject to the foregoing sentence, this Agreement shall inure to the benefit of the Bank (and its successors and assigns) and the Borrower, and shall be binding upon the successors and assigns of the parties hereto.
