Common use of Governing Law; Limitations Period Clause in Contracts

Governing Law; Limitations Period. This Agreement and any claims (including any non-contractual claims) arising out of or in connection with this Agreement are governed by the laws of England & Wales to the exclusion of the international law of conflicts and the UN Sales Convention. Licensee must initiate a cause of action for any claim(s) arising out of or relating to this Agreement and its subject matter within one (1) year from the date when Licensee knew, or should have known after reasonable investigation, of the facts giving rise to the claim(s).
