Common use of General Rules Clause in Contracts

General Rules. Online Services to which this OST applies may be granted according to one of the following licensing schemes (specifying the authorized use), as specified in the Product Portfolio if available, and as determined in the applicable Transaction Document: ⮚ Business Experience - Usage Based ⮚ Casual Named User Based ⮚ Credit Based ⮚ Named User Based ⮚ System License ⮚ Token Based Online Services to which this OST applies are granted for use on Machines by the Users (and Extended Enterprise Users, as applicable) only in the country for which the 3DS Offerings are ordered. However, (i) Users, whose usual workplace is located in the same country as the country where such use of the Online Services has been authorized, may use the Online Services in any other country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement) for purposes of a business trip of a maximum of thirty (30) consecutive days and (ii) 3DS may authorize, on a case-by-case basis, the use of certain Online Services by the Users (and Extended Enterprise Users, as applicable) on a Remote Access mode. Moreover, by ordering a 3DS Offering under this applicable OST, Customer is granted the right to access an assigned production environment in which Customer is able to manage one or more platforms (“Platform”). It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by 3DS as part of a given 3DS Offering: ⮚ shall solely be used together and as part of such 3DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such 3DS Offering has been marketed and granted to Customer by 3DS. If a patent invention is implemented in the 3DS Offering for which a right to use or access is granted pursuant to the Agreement, 3DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such 3DS Offering. Images, videos, and texts presenting 3DS Offerings functionalities and included as marketing materials in the Platform are not contractual. Customer shall only refer to the Documentation with respect to the 3DS Offerings functionalities.

However, (i) Users, whose usual workplace is located in the same country as the country where such use of the Online Services Licensed Programs has been authorized, may use the Online Services Licensed Programs in any other country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement) for purposes of a business trip of a maximum of thirty (30) consecutive days and (ii) 3DS may authorize, on a case-by-case basis, the use of certain Online Services Licensed Programs by the Users (and Extended Enterprise Users and/or Affiliates Users, as applicable) on a Remote Access mode. Moreover, by ordering a 3DS Offering under this applicable OST, Customer is granted the right to access an assigned production environment in which Customer is able to manage one or more platforms (“Platform”). It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by 3DS as part of a given 3DS Offering: ⮚ shall solely be used together and as part of such 3DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such 3DS Offering has been marketed and granted to Customer by 3DS. If a patent invention is implemented in the 3DS Offering for which a right to use or access is granted pursuant to the Agreement, 3DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such 3DS Offering. The Customer shall only refer to the Documentation with respect to must reactivate each license of the 3DS Offerings functionalitiesOffering, (i) one (1) year after the initial activation of the license, (ii) one (1) year after each subsequent reactivation of the license and (iii) at all one (1) year intervals thereafter. In the event the activation of any of these licenses expires and is not reactivated, the activation and the use of the 3DS Offering will cease and will not be operational until reactivation. This does not affect the perpetual license right to use granted under the PLC pricing structure.

MoreoverEach Named User Based license of the DS Offerings must be assigned to a specific Named User or a specific Extended Enterprise Named User as applicable, for a minimum duration of thirty (30) days even if the user’s use of the DS Offerings is removed during this period. DS Offerings authorize creation of dashboards which are administered by ordering Customer. DS Offerings are provided for a 3DS Offering under this applicable OSTmaximum number of users of such dashboards, equal to the number of Named-Users and Extended Enterprise Named Users, as applicable, for which Customer is granted the right has purchased rights to access an assigned production environment in which Customer is able to manage one or more platforms (“Platform”)such DS Offerings. It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by 3DS DS as part of a given 3DS DS Offering: ⮚ shall solely be used together and as part of such 3DS DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such 3DS DS Offering has been marketed and granted to Customer by 3DSDS. However, (i) Users, whose usual workplace is located in the same country as the country where such use of the Online Services Licensed Programs has been authorized, may use the Online Services Licensed Programs in any other country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement) for purposes of a business trip of a maximum of thirty (30) consecutive days and (ii) 3DS may authorize, on a case-by-case basis, the use of certain Online Services Licensed Programs by the Users (and Extended Enterprise Users, as applicable) on a Remote Access mode. Moreover, by ordering Concurrent (or floating) Based and Token Based licenses may be licensed for either a 3DS Offering under this Single Site or Multi-Site usage. Subject inter alia to the export and re-export laws and regulations provisions of the Agreement and applicable OST, Customer is granted provisions governing the right to access an assigned production environment in which Customer is able to manage one or more platforms (“Platform”)above licensing structures. It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by 3DS as part of a given 3DS Offering: ⮚ shall solely be used together and as part of such 3DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such 3DS Offering has been marketed and granted to Customer by 3DS. If a patent invention is implemented in the 3DS Offering for which a right to use or access is granted pursuant to the Agreement, 3DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such 3DS Offering. MoreoverAny Concurrent (or Floating) Based Licensed Program may be licensed for Multi-Site usage if so authorized by 3DS and subject to additional fees, by ordering a 3DS Offering under this applicable OSTand Customer may install and use those Licensed Programs on Machines located in several Customer’s facilities, Customer is granted as specified in the right to access an assigned production environment in which Customer is able to manage one or more platforms (“Platform”)Transaction Document. It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by 3DS as part of a given 3DS Offering: ⮚ shall solely be used together and as part of such 3DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such 3DS Offering has been marketed and granted to Customer by 3DS. However, (i) Users, whose usual workplace is at the same facility as the License Server(s) (1) on the License Server(s) itself/themselves, and (2) on other Machines that are networked to the License Server(s) at the same site as the License Server(s) or are located in the same country as the country where such use of License Server, as identified in the Online Services has been authorizedTransaction Document. However, (i) users may use the Online Services Licensed Programs in any other country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement) for purposes of a business trip of a maximum of thirty (30) consecutive days and (ii) 3DS may authorize, on a case-by-case basis, the use of certain Online Services Licensed Programs by the Users (and Extended Enterprise Users, as applicable) on a Remote Access mode. Moreover, by ordering a 3DS Offering under this applicable OSTWithin the parameters of the Transaction Document, Customer is granted may from time to time designate the right License Server(s) for which license keys shall be provided and from which tokens shall be available to access an assigned production environment in which other Machine(s). Customer is able to manage one or more platforms (“Platform”)shall promptly provide 3DS with usage reports when requested. It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by 3DS as part of a given 3DS Offering: ⮚ shall solely be used together and as part of such 3DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such 3DS Offering has been marketed and granted to Customer by 3DS. Upon request, Customer shall be granted the right to install multiple Production CloudView Instances, as long as their cumulative total of Document Tokens (i.e. available under “Token Based Online Services license for Document” scheme) does not exceed 2.500.000. Usage limitations defined in the Agreement, including both the authorized use and authorized users, are always counted and limited by one centralized EXALEAD License Server tied to its hardware configuration (node-locked), and are split between all CloudView Instances. Licenses for the Licensed Programs to which this OST applies are granted for use on Machines by the Users (and Extended Enterprise Users, as applicable) only in the country for which the 3DS Offerings licenses are ordered. However, (i) Users, whose usual workplace is located in the same country as the country where such use of the Online Services Licensed Programs has been authorized, may use the Online Services Licensed Programs in any other country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement) for purposes of a business trip of a maximum of thirty (30) consecutive days and (ii) 3DS DS may authorize, on a case-by-case basis, the use of certain Online Services Licensed Programs by the Users (and Extended Enterprise Users, as applicable) on a Remote Access mode. Moreover, by ordering a 3DS Offering under this applicable OST, Customer is granted the right to access an assigned production environment in which Customer is able to manage one or more platforms (“Platform”). It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by 3DS as part of a given 3DS Offering: ⮚ shall solely be used together and as part of such 3DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such 3DS Offering has been marketed and granted to Customer by 3DS. If a patent invention is implemented in the 3DS Offering for which a right to use or access is granted pursuant to the Agreement, 3DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such 3DS Offering. Images, videos, and texts presenting 3DS Offerings functionalities and included as marketing materials in the Platform are not contractual. Customer shall only refer to the Documentation with respect to the 3DS Offerings functionalities.

Online Services to which this OST applies may be granted according to one of the following licensing schemes (specifying the authorized use), as specified in the Product Portfolio if available, and as determined in the applicable Transaction Document: ⮚ Business Experience - Usage Based ⮚ Casual  Named User Based ⮚ Credit Based ⮚ Named either for Subscriber User, Analyst User Based ⮚ or Publisher User  System License ⮚ Token Based Online Services to which this OST applies are granted for use on Machines by the Users (and Extended Enterprise Users, as applicable) only in the country for which the 3DS DS Offerings are ordered.
