Common use of General Rules Clause in Contracts

General Rules. Licenses for the Licensed Programs to which this OST applies may be granted according to one of the following licensing schemes (specifying the authorized use), as specified in the Product Portfolio if available, and as determined in the applicable Transaction Document: ⮚ Concurrent (or Floating) Based ⮚ Machine (or node-lock) Based ⮚ Named User Based ⮚ System License Licenses for the Licensed Programs to which this OST applies are granted for use on Machines by the Users (and Extended Enterprise Users, as applicable) only in the country for which the DS Offerings are ordered. However, (i) Users, whose usual workplace is located in the same country as the country where such use of the Licensed Programs has been authorized, may use the Licensed Programs in any other country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement) for purposes of a business trip of a maximum of thirty (30) consecutive days and (ii) DS may authorize, on a case-by-case basis, the use of certain Licensed Programs by the Users (and Extended Enterprise Users, as applicable) on a Remote Access mode. It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by DS as part of a given DS Offering: ⮚ shall solely be used together and as part of such DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such DS Offering has been marketed and granted to Customer by DS. If a patent invention is implemented in the DS Offering for which a right to use or access is granted pursuant to the Agreement, DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such DS Offering.

However, (i) Users, whose usual workplace is located in the same country as the country where such use of the Licensed Programs Online Services has been authorized, may use the Licensed Programs Online Services in any other country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement) for purposes of a business trip of a maximum of thirty (30) consecutive days and (ii) DS may authorize, on a case-by-case basis, the use of certain Licensed Programs Online Services by the Users (and Extended Enterprise Users, as applicable) on a Remote Access mode. Moreover, by ordering a DS Offering under this applicable OST, Customer is granted the right to access an assigned production environment in which Customer is able to manage one or more platforms (“Platform”). It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by DS as part of a given DS Offering: ⮚ shall solely be used together and as part of such DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such DS Offering has been marketed and granted to Customer by DS. If a patent invention is implemented in the DS Offering for which a right to use or access is granted pursuant to the Agreement, DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such DS Offering. Images, videos, and texts presenting DS Offerings functionalities and included as marketing materials in the Platform are not contractual. Customer shall only refer to the Documentation with respect to the DS Offerings functionalities.

However, (i) Users, whose usual workplace is at the same facility as the License Server(s) (1) on the License Server(s) itself/themselves, and (2) on other Machines that are networked to the License Server(s) at the same site as the License Server(s) or are located in the same country as the country where such use of License Server, as identified in the Licensed Programs has been authorizedTransaction Document. However, (i) users may use the Licensed Programs in any other country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement) for purposes of a business trip of a maximum of thirty (30) consecutive days and (ii) DS may authorize, on a case-by-case basis, the use of certain Licensed Programs by the Users (and Extended Enterprise Users, as applicable) on a Remote Access mode. Within the parameters of the Transaction Document, Customer may from time to time designate the License Server(s) for which license keys shall be provided and from which tokens shall be available to other Machine(s). Customer shall promptly provide DS with usage reports when requested. It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by DS as part of a given DS Offering: ⮚ shall solely be used together and as part of such DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such DS Offering has been marketed and granted to Customer by DS. If a patent invention is implemented in the DS Offering for which a right to use or access is granted pursuant to the Agreement, DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such DS Offering.

Within the parameters of the Transaction Document, subject to the restrictions described in this OST, Customer may from time to time designate the License Server(s) for which the DS Offerings are orderedlicense keys shall be provided and from which tokens shall be available to other Machine(s). HoweverCustomer shall promptly provide 3DS with usage reports when requested. In addition, (i) Users, whose usual workplace is located in the same country as the country where such use of the Licensed Programs has been authorized, may use the Licensed Programs in any other country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement) for purposes of a business trip of a maximum of thirty (30) consecutive days and (ii) DS may authorize, on a case-by-case basis, the use of certain Licensed Programs by the Users (and Extended Enterprise Users, as applicable) on a Remote Access modedays. It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by DS 3DS as part of a given DS 3DS Offering: ⮚ shall solely be used together and as part of such DS 3DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such DS 3DS Offering has been marketed and granted to Customer by DS3DS. If a patent invention is implemented in the DS 3DS Offering for which a right to use or access is granted pursuant to the Agreement, DS 3DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such DS 3DS Offering.

Customer agrees that DS may record, store, and use, for purposes of monitoring compliance with this Agreement and preserving and protecting its rights under its license compliance program, information linked to the installation and use of the Licensed Programs. The information is the IP / MAC address of any machine on which the Licensed Programs are installed as well as the operating system and the Java version with which the Licensed Programs are used. It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by DS as part of a given DS Offering: ⮚ shall solely be used together and as part of such DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such DS Offering has been marketed and granted to Customer by DS. If a patent invention is implemented in the DS Offering for which a right to use or access is granted pursuant to the Agreement, DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such DS Offering.

If a patent invention is implemented in the DS Offering for which a right to use or access is granted pursuant to the Agreement, DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such DS Offering.

Licenses for the Licensed Programs to which this OST applies may be granted according to one of the following licensing schemes (specifying the authorized use), as specified in the Product Portfolio if available, and as determined in the applicable Transaction Document: ⮚ Concurrent Single User (or FloatingStandalone) Based ⮚ Machine SolidNetWork (or node-lockSNL) Based ⮚ Named User Based ⮚ System License Licenses for the Licensed Programs to which this OST applies are granted for use on Machines by the Users (and Extended Enterprise Users, as applicable) only in the country for which the DS Offerings are ordered. However, (i) Users, whose usual workplace is located in the same country as the country where such use of the Licensed Programs has been authorized, may use the Licensed Programs in any other country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement) for purposes of a business trip of a maximum of thirty (30) consecutive days and (ii) DS may authorize, on a case-by-case basis, the use of certain Licensed Programs by the Users (and Extended Enterprise Users and/or Affiliates Users, as applicable) on a Remote Access mode. It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by DS as part of a given DS Offering: ⮚ shall solely be used together and as part of such DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such DS Offering has been marketed and granted to Customer by DS. If a patent invention is implemented in the DS Offering for which a right to use or access is granted pursuant to the Agreement, DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such DS Offering. The Customer must reactivate each license of the DS Offering, (i) one (1) year after the initial activation of the license, (ii) one (1) year after each subsequent reactivation of the license and (iii) at all one (1) year intervals thereafter. In the event the activation of any of these licenses expires and is not reactivated, the activation and the use of the Offering will cease and will not be operational until reactivation. This does not affect the perpetual license right to use granted under the PLC pricing structure.

Moreover, by ordering a DS Offering under this applicable OST, Customer is granted the right to access and manage one (1) online environment (“Platform”) in which DS Offerings are assigned. If a patent invention is implemented in the DS Offering for which a right to use or access is granted pursuant to the Agreement, DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such DS Offering. Images, videos, and texts presenting DS Offerings functionalities and included as marketing materials in the DS Offering are not contractual. Customer shall only refer to the Documentation with respect to the DS Offerings functionalities.

However, (i) users may use the Licensed Programs in any other country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement) for purposes of a business trip of a maximum of thirty (30) consecutive days and (ii) DS may authorize, on a case-by-case basis, the use of certain Licensed Programs by the Users (and Extended Enterprise Users, as applicable) on a Remote Access mode. Within the parameters of the Transaction Document, Customer may from time to time designate the License Server(s) for which license keys shall be provided and from which tokens shall be available to other Machine(s). Customer shall promptly provide DS with usage reports when requested. It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by DS as part of a given DS Offering: ⮚ shall solely be used together and as part of such DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such DS Offering has been marketed and granted to Customer by DS. If a patent invention is implemented in the DS Offering for which a right to use or access is granted pursuant to the Agreement, DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such DS Offering.

General Rules. Licenses for the Licensed Programs to which this OST applies may be granted according to one of the following licensing schemes (specifying the authorized use), as specified in the Product Portfolio if available, and as determined in the applicable Transaction Document: ⮚ Concurrent Single User (or FloatingStandalone) Based ⮚ Machine SolidNetWork (or node-lockSNL) Based ⮚ Named User Based ⮚ System License Licenses for the Licensed Programs to which this OST applies are granted for use on Machines by the Users (and Extended Enterprise Users, as applicable) only in the country for which the DS 3DS Offerings are ordered. However, (i) Users, whose usual workplace is located in the same country as the country where such use of the Licensed Programs has been authorized, may use the Licensed Programs in any other country (subject inter alia to the export and re-export laws and regulations provisions of the Agreement) for purposes of a business trip of a maximum of thirty (30) consecutive days and (ii) DS 3DS may authorize, on a case-by-case basis, the use of certain Licensed Programs by the Users (and Extended Enterprise Users and/or Affiliates Users, as applicable) on a Remote Access mode. It is agreed that, notwithstanding anything to the contrary provided in the Documentation, software components packaged and delivered by DS 3DS as part of a given DS 3DS Offering: ⮚ shall solely be used together and as part of such DS 3DS Offering and ⮚ shall not be used standalone and/or for other purposes than the ones for which such DS 3DS Offering has been marketed and granted to Customer by DS3DS. If a patent invention is implemented in the DS 3DS Offering for which a right to use or access is granted pursuant to the Agreement, DS 3DS hereby grants Customer a non-exclusive license on the applicable patent limited to the use of such DS 3DS Offering. The Customer must reactivate each license of the 3DS Offering, (i) one (1) year after the initial activation of the license, (ii) one (1) year after each subsequent reactivation of the license and (iii) at all one (1) year intervals thereafter. In the event the activation of any of these licenses expires and is not reactivated, the activation and the use of the 3DS Offering will cease and will not be operational until reactivation. This does not affect the perpetual license right to use granted under the PLC pricing structure.
