General Role. Within their terms of reference, Overview & Scrutiny Committee and its Sub- Committees will: i) Review and/or scrutinise decisions made or actions taken in connection with the discharge of any of the Council’s functions; ii) Make reports and/or recommendations to Council Assembly and/or the Executive in connection with the discharge of any functions; and iii) Consider any matter affecting the area or its inhabitants.
General Role. In addition to their specific role and responsibilities under any clause(s) of this Agreement, the Designated Partners shall be responsible for carrying out the provisions and the purpose(s) of this Agreement.

General Role. The Participant acknowledges and agrees that, notwithstanding anything to the contrary in this Agreement: (i) SGX BT does not guarantee the continued availability of the SGX BT Platform at any given time; (ii) SGX BT is not responsible for, nor does it guarantee performance of, any Transaction, regardless of whether it fails to settle as a result of the General Counterparty or any SGX BT Platform Participant not fulfilling its obligations in connection with the Transaction or any other reason, and the Participant agrees that it has no rights against SGX BT and must not proceed against SGX BT to collect or recover sums or to enforce any rights in connection with, or as a result of, such Transaction, except to the extent caused by the negligence, fraud or willful default of SGX BT; (iii) SGX BT has no duty or obligation to confirm or investigate the identity or authority of any persons effecting transactions on the SGX BT Platform on behalf of the Participant or to verify the accurateness or completeness of any Transaction; (iv) SGX BT owes no fiduciary or equitable duties to the Participant and nothing in this Agreement shall give rise to such duties; (v) the submitting of any information on the SGX BT Platform by SGX BT or SGX BT Platform Participants is not a recommendation on their part that any particular Transaction is in compliance with Applicable Law, or is suitable or appropriate for the Participant; (vi) SGX BT has no duty or obligation to monitor or enforce any restrictions, requirements or rules imposed by the Bond Documents; and (vii) SGX BT has the power to do all things necessary to comply with Applicable Law or a request of a Governmental Authority or to ensure that the SGX BT Platform is fair, orderly and transparent.

General Role. The FSMC selected pursuant to this request for proposal will meet and confer on a regular basis with the Chief Financial Officer (and Food Service Support Staff, when applicable) to make recommendations regarding quality, extent and general nature of the food service operation, and to recommend prices to be charged for meals and other food; The SFA will retain control over such aspects of the food service operation, and shall have the right to make final decisions regarding such matters.

  • General Responsibility The Consultant shall, at all times during the Agreement, remain responsible. The Consultant agrees, if requested by the Commissioner of NYSDOT or his or her designee, to present evidence of its continuing legal authority to do business in New York State, integrity, experience, ability, prior performance, and organizational and financial capacity.

  • EMPLOYEE DEVELOPMENT AND TRAINING 1. The State agrees to provide advice and counseling to employees with respect to career advancement opportunities and agency developments which have an impact on their careers. 2. Regular review of its job-related and career development and training programs will be made by the State in order to provide suitable programs for employees covered by this Agreement. When undertaking any such review, the State shall notify employees of such review and take into account suggestions and proposals made by employees. 3. Employees shall be given a reasonable notice of applicable, development and training programs available. Such notice shall include an explanation of the procedure for applying for the program. Notices of development and training programs shall be posted for reasonable periods in advance on bulletin boards at applicable work locations within the agencies involved. An appointing authority shall make every effort to permit employees' participation in such career development and training programs. Participation in any training inside or outside of work hours which is required by the State as a condition of fulfilling the requirements of the employee's job, or any in-service State training which is conducted or undertaken during normally scheduled work hours will be considered as time worked. 4. The State shall pay tuition, course-related fees, other approved course required costs and for necessary travel and lodging pursuant to established policies and procedures.

  • Contractor’s General Responsibilities The Contractor, regardless of any delegation or subcontract entered by the Contractor, shall be responsible for the following when providing Information Technology Staff Augmentation Services: 3.1 The Contractor is responsible for the comprehensive management of Staff. Staff shall not be deemed an employee of the State or deemed to be entitled to any benefits associated with such employment and the Contractor shall be responsible for the administration and maintenance of all employment and payroll records, payroll processing, remittance of payroll and taxes, and all administrative tasks required by State and federal law associated with payment of Staff. 3.2 The Contractor shall provide Staff in accordance with Customer Request for Quotes (RFQ), and as described in Exhibit H, Job Family Descriptions document. Customers may include a detailed scope of work, specific requirements of the work to be performed, and any requirements of Staff within the Request for Quotes. 3.3 The Contractor shall possess the professional and technical Staff necessary to allocate, outsource, and manage qualified Staff to perform the services requested by the Customer. 3.4 The Contractor shall provide Customers with Staff who have sufficient skill and experience to perform the services assigned to them. 3.5 The Contractor is responsible for ensuring that all Information Technology Staff Augmentation Services furnished under the Contract meet the professional standards and quality that prevails among information technology professionals in the same discipline and of similar knowledge and skill engaged in related work throughout Florida under the same or similar circumstances. 3.6 The Contractor shall provide, at its own expense, any training necessary for keeping Contractor’s Staff abreast of industry advances and for maintaining proficiency in equipment and systems that are available on the commercial market. 3.7 The Contractor shall, at its own expense, be responsible for adhering to the Contract background screening requirements, testing, evaluations, advertising, recruitment, and disciplinary actions of Contractor’s Staff. 3.8 The Contractor, throughout the term of the Contract, shall maintain all licenses, permits, qualifications, insurance, and approvals of whatever nature that are legally required for Contractor and Staff to perform the Information Technology Staff Augmentation Services. 3.9 Contractor shall be responsible for all costs associated with the administration of this Contract. 3.10 The Contractor shall adhere to all work policies, procedures, and standards established by the Department and Customer. 3.11 The Contractor shall ensure that Staff conform with the Customer’s policies in all respects while on the Customer’s premises, and is responsible for obtaining all rules, regulations, policies, etc. 3.12 The Contractor shall only provide Information Technology Staff Augmentation services for those Job Titles awarded to the Contractor. Contractor shall be paid on an hourly basis unless Customer requests in their RFQ a project-based pricing structure in accordance with Section 9.5, below.

  • General non-discrimination No person shall, on the grounds of race, color, religion, ancestry, gender, age (over 40), national origin, medical condition (cancer), physical or mental disability, sexual orientation, pregnancy, childbirth or related medical condition, marital status, or political affiliation be denied any benefits or subject to discrimination under this Agreement.

  • General Conduct The BSC has specific policies governing conduct in the units, including, but not limited to, assault, harassment, sexual harassment, host, alcohol, party and substance abuse policies. Member agrees to read and abide by these policies. Failure to follow BSC conduct policies will lead to a range of sanctions up to and including termination of this contract and BSC membership.
