Franchised Location. To protect the Fiesta Proprietary Marks, the Copyrights, the Fiesta System and the goodwill associated with the same, Franchisee shall operate the Franchised Business only at the address listed on Exhibit A attached to this Agreement (the ʺFranchised Locationʺ). Franchisee shall select the Franchised Location and operate the Franchised Business at the Franchised Location in accordance with the provisions of Section 5 below. Franchisee shall be solely responsible for all expenses associated with the operation of the Franchised Business at the Franchised Location, including, but not limited to rent, payroll, taxes, office supplies, advertising, marketing, claims, and the defense of any lawsuits.
