Format and Data. Each report will be in Microsoft Excel format (or electronic• transfer format mutually agreed upon by the Institutional Contacts at each institution listed in Attachment A). Each report will be sorted by college and will include the following data elements: college name, credential seeking/awarded, academic plan, number of credited hours earned, name, address, county of residence, email address, telephone, date of birth, sex, and race. Sex and race are self-reported by students and will only be provided for students who have self- reported that data. Each report will indicate students who have enrolled in at least one online course while attending KCTCS. Information for students who have expressly indicated that they do not want information shared (i.e., those with FERPA flags) will not be included in these reports. The file layout of each report will have a consistent layout where possible unless otherwise noted in this Agreement. The report of Phi Theta Kappa inductees may not follow the file layout of other reports provided per this Agreement. As a courtesy to Midway, KCTCS System Office will acquire this information from Phi Theta Kappa and will not alter the information or file format before forwarding to Midway.

Format and Data. Provider shall provide each invoice electronically (if requested by Idearc) and in the form approved by Idearc prior to the initial Tower Commencement Date. Provider shall include in each invoice the pricing calculations and related data utilized to calculate the Charges and sufficient information to validate the service volumes and associated Charges. Each invoice also shall meet (i) all applicable accounting and other legal and regulatory requirements (ii) any other reasonable business requirements and objectives of Idearc. All reporting and invoicing for Services will be compatible with and integrate with Idearc’s systems.

Format and Data. SageSure and the Company shall mutually agree upon the form and data field content of the loss run report upon execution of this Agreement. i. SageSure shall provide a monthly detailed Claims extract report to Company within fifteen (15) days after the last day of each calendar month detailing any Claim resulting from a catastrophic event as declared by PCS (the “CAT Report”). The CAT Report must include insurance industry or local catastrophe coding, loss date, underwriting year, cause of loss, paid loss, outstanding loss, paid loss adjustment expense and outstanding loss for each Claim required to be included on the CAT Report. j. SageSure shall promptly notify Company in the event of any data breach which results in the accidental or unlawful destruction, loss, alteration of, or the unauthorized acquisition, disclosure, or access to non-public information in SageSure’s possession in accordance with the Information and Security Agreement attached hereto as Exhibit D. k. SageSure shall not: 1) commit the Company to participate in insurance or reinsurance syndicates; 2) collect any payment from a reinsurer or commit the Company to any claim settlement with a reinsurer without prior approval of the Company. If prior approval is given, a report must be promptly forwarded to the Company; 3) permit its subproducer to serve on the Company’s board of directors; 4) jointly employ an individual who is employed with the Company; or
