FEE AND PAYMENT. In the event a Client wishes the Candidate to undergo a trial prior to making a job offer, such trial period shall be free of charge for the first day. Thereafter the trial fee payable to the Agency shall be £20 per day. The trial period may not exceed 5 full days. If it does any further time shall be considered to be a temporary placement and shall be billed as such. For the avoidance of doubt, payment of the Candidate’s time during a trial period shall be negotiated directly with the Candidate. For any Client wishing to engage a Candidate on a Permanent Engagement, a registration fee of £25.00 is payable by the Client prior to the Agency commencing work on the Client Brief. Such fee will be deducted from the Service Fee when such becomes due and payable. The Service Fee becomes due and payable on the date (the “Service Fee Due Date”) which is the earlier of: (i) the date upon which a Candidate accepts an offer of Engagement either by verbal or by written agreement; and (ii) the Engagement Commencement Date. The Agency will raise an invoice on, or as soon as reasonably practicable after becoming aware of, the Service Fee Due Date. For the avoidance of doubt, such Service Fee is due and payable by the Client even if the Client has not notified the Agency of the acceptance or commencement of the Engagement. In the event that a Candidate is engaged on a Temporary Engagement but the Engagement continues for 12 weeks or more, the Client shall be liable to pay the difference between the fee payable for the Temporary Engagement (less any amount already paid by the Client, if applicable) and the fee for the Permanent Engagement. The Client shall notify the Agency immediately a Temporary Engagement continues for 12 weeks or more. The Agency shall be entitled to invoice the Client for the difference immediately upon notification or otherwise becoming aware of the continuation of the Temporary Engagement. If the Client chooses to make an offer of Engagement to any babysitter or event nanny on a permanent or temporary basis, a Service Fee shall become payable by the Client prior to such Candidate starting an Engagement with the Client. Payment is due by the Client within seven working days of the date of any invoice. Timing of payment of the Service Fee shall be of the essence. The Agency reserves the right to charge the Client interest in respect of any late payment of any sum due under this Contract at the rate of 4 per cent per annum above the base rate of Barclays Bank, from the due date until receipt of payment. All payments to be made by the Client to the Agency under the Contract shall be made in pounds Sterling by any of: direct transfer to the Agency’s bank account (as notified by the Agency to the Client); or any other way agreed between the parties.

7.5 All payments to be made by the Client to the Agency under the Contract shall be made in pounds Sterling sterling by any of: direct transfer to the Agency’s Agencyˇs bank account (as notified by the Agency to the Client); ) or any other way agreed between the parties.
7.6 In the event of a Client based permanently overseas wishing to use the Agencyˇs Services, the Client shall pay the Agency a fee of £500 (“Retention Fee”) in order to start the process. If the Services are successful, the Retention Fee shall be deducted from the Placement Fee payable on the Engagement of the Candidate.
7.7 The Client acknowledges that the Retention Fee is a reasonable pre-estimate of the costs incurred by the Agency for the Introduction of a Candidate to be placed overseas and the Client shall not be entitled to a refund (unless the parties agree otherwise) of the Retention Fee if the Introduction of the Candidate does not result in an Engagement.

For the avoidance of doubt, payment of the Candidate’s time during search for a trial period shall be negotiated directly with the Candidate. For any Client wishing to engage candidate for a Candidate on a Permanent potential Engagement, a registration fee of £25.00 is payable by the Client shall pay a £199 Search Fee to the Agency prior to the Agency commencing work on search taking place. If a candidate accepts an offer of Engagement, the Client Brief. Such fee Search Fee will be deducted from the Service Fee when such becomes due and payable. Introduction Fee.
7.2 The Service Introduction Fee becomes due and payable on within seven days of the date (the “Service Introduction Fee Due Date”) which is the earlier of: (i) the date upon which a Candidate candidate accepts an offer of Engagement either by verbal or by written agreement; and (ii) the Engagement Commencement Date. The Agency will raise an invoice on, or as soon as reasonably practicable after becoming aware of, the Service Introduction Fee Due Date. For the avoidance of doubt, such Service Introduction Fee is due and payable by the Client even if the Client has not notified the Agency of the acceptance or commencement of the Engagement. If the Client fails to pay the Introduction Fee by the Introduction Fee Due Date, they will lose their ability to receive a free replacement or credit should the Candidate leave the Engagement within the Probation Period (see clause 8).
7.3 With regards to the Engagement of a candidate for short-term purposes, such period being 16 weeks or less, the Client will be charged £40 per day or £200 for a week.
7.4 The Introduction Fee for placements within the UK is calculated at 14% of the Candidate’s gross annual salary. For placements overseas, the Introduction Fee is 16% of the Candidate’s gross annual salary.
7.5 In the event that a Candidate candidate is engaged on a Temporary Engagement but the Engagement continues for 12 16 weeks or more, the Client shall be liable to pay the difference between the fee payable for the Temporary Engagement (less any amount already paid by the Client, if applicable) and the fee for the Permanent Engagement. The Client shall notify the Agency immediately if a Temporary Engagement continues for 12 16 weeks or more. The Agency shall be entitled to invoice the Client for the difference immediately upon notification or otherwise becoming aware of the continuation of the Temporary Engagement. If a candidate moves from a Temporary Engagement to a Permanent Engagement, the Client chooses will switch to make an offer the permanent engagement Replacement Policy as outlined in Clause 8.
7.6 If the employment of Engagement to any babysitter or event nanny a candidate employed on a permanent or temporary basisbasis is extended in terms of hours in the first year of employment, a Service then the Client shall be liable to pay the Agency an additional Introduction Fee. 7.6 If the Client withdraws the offer of employment or engagement referred to in clause 5.7 for any reason prior to the commencement of such employment or engagement then:
(i) in the event that the full amount of the Service Fee has been received by the Agency from the Client in accordance with clause 5.7 the Agency shall refund to the Client 50% of the amount of the Service Fee actually received by the Agency; or
(ii) in the event that the Agency has not, at the time of receipt by the Agency of notification of the withdrawal, received from the Client the full amount of the Service Fee, the Client will still, for the avoidance of doubt, be obliged to pay to the Agency (within the 14 day period referred to in clause 7.3 above) 50% of the Service Fee and the Client shall not be obliged to pay the remaining 50% of the Service Fee to the Agency. For the avoidance of doubt, if a refund is made by the Agency pursuant to this Clause 7.5.1, no further refund with be made under Clause 8 or otherwise.
