Facilities Manager. The Company will engage Provision Living, LLC as the Facility Manager of the Facilities, pursuant to Management Agreements approved by the Members. The Facility Manager shall at all times be an “eligible independent contractor” as such term is defined in the Code. At such time, if any, as Provision Living, LLC does not qualify as an “eligible independent contractor” within the meaning of the Code, the Members shall engage a new Facility Manager.
