Common use of Export Monitoring Clause in Contracts

Export Monitoring. Each Party shall use Diligent Efforts to monitor exports of Product from its own Commercial Territory for commercialization in the other Party’s Commercial Territory using methods permitted under Applicable Law that are commonly used in the industry for such purpose, and shall promptly notify the other Party of any such exports of Product from its Commercial Territory. Each Party agrees to take reasonable actions requested in writing by the other Party that are consistent with Applicable Law to prevent exports of Product from its Commercial Territory for Commercialization in the other Party’s Commercial Territory.

Export Monitoring. Each Party shall and its Related Parties will use Diligent Commercially Reasonable Efforts to monitor and prevent exports of Product Licensed Products from its own Commercial Territory for commercialization Commercialization in the other Party’s Commercial Territory using methods permitted under Applicable Law that are commonly used in the industry for such purpose, and shall promptly notify inform the other Party of any such exports of Product Licensed Products from its Commercial Territory, and the actions taken to prevent such exports. Each Party agrees to take reasonable actions requested in writing by the other Party that are consistent with Applicable Law to prevent exports of Product Licensed Products from its Commercial Territory for Commercialization in the other Party’s Commercial Territory.
