Existing Program Sample Clauses

The "Existing Program" clause defines the status and treatment of any pre-existing software, systems, or intellectual property that a party brings into a contractual relationship. Typically, this clause clarifies that such pre-existing materials remain the property of the original owner and are not transferred or assigned to the other party, even if they are used or integrated into the new project. For example, if a contractor uses their own proprietary software tools to deliver a service, those tools remain theirs, and only the new work product is transferred. This clause ensures that ownership rights over pre-existing assets are preserved and prevents disputes over intellectual property that was not created as part of the current agreement.
