Executive Search Firm. When it is deemed appropriate to use an executive search firm, then the firm chosen should provide the AAO, or his or her designee, with all the docu- mentation required in paragraph five (5) below and be in conformity with all other aspects of this Agreement.

Executive Search Firm. The Investor has engaged the executive search firm Xxxxxxx Xxxxxx to identify potential Board candidates. The Investor and the Board (or a committee thereof) have mutually agreed on the appropriate background, experience, credentials and other qualifications to be used by Xxxxxxx Xxxxxx to identify qualified board candidates (the “Selection Criteria”). The fees and expenses of Xxxxxxx Xxxxxx will be paid by the Investor.

  • Duties of Executive Executive shall serve as the Chief Executive Officer and President of the Corporation and of the Bank reporting only to the Boards of Directors of the Corporation and the Bank. Executive shall have such other duties and hold such other titles as may be given to him from time to time by the Boards of Directors of the Corporation and the Bank provided that such duties are consistent with the Executive’s position as Chief Executive Officer and President.

  • Executive Director (a) The HMO must employ a qualified individual to serve as the Executive Director for its HHSC HMO Program(s). Such Executive Director must be employed full-time by the HMO, be primarily dedicated to HHSC HMO Program(s), and must hold a Senior Executive or Management position in the HMO’s organization, except that the HMO may propose an alternate structure for the Executive Director position, subject to HHSC’s prior review and written approval.

  • Employment of Executive Employer hereby agrees to employ Executive, and Executive hereby agrees to be and remain in the employ of Employer, upon the terms and conditions hereinafter set forth.

The fees and expenses of any Consulting Firms selected pursuant to this Section II.A.4 shall be borne equally by the Sellers, on the one hand, and the Purchasers, on the other hand,.

  • TRANSITION COMMITTEE 8.1.0 A transition committee comprised of the employee representatives and the employer representatives, including the Crown, will be established by January 31, 2016 to address all matters that may arise in the creation of the Trust.
