The Administrative Agent shall have received counterparts of this Amendment, which collectively shall have been duly executed on behalf of each of the BorrowerCredit Parties, the Existing Lenders representing “Required Lenders”, the New Lenders and the Administrative Agent.

Execution of Counterparts of Amendment. The Administrative Agent shall have received counterparts of this Amendment, which collectively shall have been duly executed on behalf of each of the Borrower, the Required Parent, the Subsidiary Guarantors, the Requisite Lenders, Lenders holding in the aggregate at least a majority of the Revolving Commitments, Lenders holding in the aggregate at least a majority of the outstanding Tranche B Loan, each Lender that is increasing its Revolving Commitment pursuant to this Amendment and the Administrative Agent.
