Exclusive Contract. Facility desires to ensure the proper, orderly and efficient delivery of Services to its residents. Facility has determined that an exclusive arrangement is the best means by which these goals can be achieved. Accordingly, Facility agrees that during the term of this Agreement and for so long as OnsiteCare is not in breach of this Agreement, OnsiteCare shall be the exclusive provider of Services and Facility will not compensate or otherwise engage any other individual or entity to provide Services at the Facility. The exclusivity provided under this subsection k. shall not apply to any service not provided by OnsiteCare to Facility under this Agreement. AGREED as of the Effective Date.
