Common use of Equity Option Clause in Contracts

Equity Option. (a) Executive received a grant of an option to purchase a 1.0% Interest (as defined in the Limited Liability Company Agreement, dated as of October 29, 1997, between CBS Inc. and Data Broadcasting Corporation) on July 1, 1998 ( the "OPTION"). Such percentage is calculated based on the fully-diluted equity ownership of the Company as constituted on October 29, 1997, taking into account the issuance of options to purchase an aggregate of a ten percent (10%) Interest in the Company to be issued to employees of the Company or other personnel rendering substantial services to the Company (which options include the Option).
