Common use of Employment Position and Duties Clause in Contracts

Employment Position and Duties. You shall be employed in the position of VP and General Manager, Offshore Systems Ltd. of the Company. You shall report to the President & Chief Executive Officer (“President & CEO”). You shall faithfully and diligently perform such duties, as set forth by the President & CEO and outlined in your position description, and exercise such powers as are consistent with your position as a VP and General Manager. You shall devote substantially all of your business time, attention and skill to your duties to the Company and shall not engage in, participate in, render any service to, or undertake any employment, corporate directorships, or industry committee positions, either directly or indirectly, with respect to any other business or for any other entity, without the prior written consent of the Company.

You shall report to the President & Chief Executive Officer (“President & CEO”). You shall faithfully and diligently perform such duties, as set forth by the President & CEO and outlined in your position descriptionCEO, and exercise such powers as are consistent with your position as a VP and General ManagerVP, Finance. You shall devote substantially all of your business time, attention and skill to your duties to the Company and shall not engage in, participate in, render any service to, or undertake any employment, corporate directorships, or industry committee positions, either directly or indirectly, with respect to any other business or for any other entity, without the prior written consent of the Company.

You shall report to the President & Chief Executive Officer Board of Directors of the Company (the “President & CEOBoard”)) or to such director or committee of directors as may be designated in writing by the Board. You shall faithfully and diligently perform such duties, as set forth by the President & CEO and outlined in your position description, duties and exercise such powers as are consistent with your position as a VP chief executive officer, including without limitation the duties and General Managerresponsibilities set out in Appendix A hereto. You shall devote substantially all of your business time, attention and skill to your duties to the Company and shall not engage in, participate in, render any service to, or undertake any employment, corporate directorships, or industry committee positions, either directly or indirectly, with respect to any other business or for any other entity, without the prior written consent of the Company.
