Employees Acknowledgments and Covenants. (a) Employee agrees that during the Term of Employee’s employment with Employer or any subsidiary or affiliate of Employer and for a period that is the longer of (x) seven (7) years from the Effective Date of this Agreement or (y) two (2) years after the termination of Employee’s employment with Employer or any subsidiary or affiliate of Employer for any reason, whether voluntary or involuntary, and, as to subsection (iv) below, at any time after the Term of Employee’s employment with Employer or any subsidiary or affiliate of Employer, Employee will not, directly or indirectly, do or suffer any of the following:
