Effectiveness of Guarantee. 6.1 This guarantee is an unconditional and irrevocable guarantee, the effectiveness of the guarantee will not be affected by any of the following issues:

Effectiveness of Guarantee. The Guarantee contained in this Indenture shall not be effective until such time as the Company and the Guarantor shall deliver an Officers’ Certificate to the Trustee stating that the Guarantee contained in this Indenture is effective.
