Effective upon. (i) the execution of this Agreement by all of the Parties, (ii) approval of this Agreement by the City Council, and (iii) payment of the amount specified below made payable to Sun Signs, L.L.C., all of which (i) through (iii) shall occur no later than June 30, 2017 (the "Effective Date"), the Parties agree that:
