Common use of Downtime Clause in Contracts

Downtime. Downtime for each incident shall start from the time that Contractor knew or reasonably should have known of the materials failure, or Purchaser makes a bona fide attempt to contact Contractor’s designated representative at the prearranged contact point, whichever occurs earlier, until the materials are returned to fully operational status in conformance with its specifications. During periods of materials failure downtime, Purchaser may use operable portions of the materials when such action does not interfere with repair of the inoperable portions.
