Documents to Be Delivered by Contributor. (i) On or prior to each Contribution Date, Contributor shall have delivered copies of the proper financing statements (or other similar documents) that name Contributor as the grantor and Contributee as the secured party with respect to the Contributed Assets or other similar instruments or documents, as may be necessary or, in Contributee’s opinion, desirable under the UCC or other applicable law to perfect Contributee’s ownership interest in all Contributed Assets, and to perfect the security interest granted to Contributee pursuant to Section 2.3.
Documents to Be Delivered by Contributor. On or prior to the Closing Date, Contributor shall have delivered a duly and validly executed Xxxx of Sale, Assignment and Assumption Agreement in the form of Exhibit A attached hereto and made a part hereof for all purposes, together with such other forms of conveyance as may be required by any applicable Governmental Authority or is otherwise expedient, covering all of the Contributed Assets to be contributed to Contributee pursuant hereto
