Common use of Documents and Data Clause in Contracts

Documents and Data. On the Closing Date, the Vendor shall deliver to the Purchaser all documents (or copies thereof, except in the case of Contracts) and other data, technical or otherwise, that are in the possession or control of the Vendor and which relate to the Assets and will be necessary or desirable for the conduct of the Business by the Purchaser after the Closing Date including, without limitation, such books of account and financial records as the Purchaser may reasonably request.

Documents and Data. On the Closing DateDate or as soon as practical thereafter, the Vendor shall deliver to the Purchaser all documents (or copies thereof, except in the case of Contracts) and other data, technical or otherwise, that which are owned or in the possession or control of the Vendor or the Company which relate directly to the Business and which relate to the Assets and will be necessary or desirable for the conduct of the Business by the Purchaser after the Closing Date Date, including, without limitation, such books of account and financial records as the Purchaser may reasonably request.
