Documents and Data. A. Unless otherwise provided by the Authority, Contractor will provide the Authority with hard and electronic copies of any and all reports, models, studies, maps or other documents (“Documents”) resulting from a Work Order at no cost to the Authority. All original documents prepared by Contractor are instruments of service and shall be the property of the Authority. The use of data gathered under the Agreement shall be restricted and limited to the purposes of the Agreement, excluding the data in the public domain, and shall not be used in connection with other contracts or for other clients of Contractor without written permission of the Authority. All electronic copies, including copies of electronic media used to store data, shall be provided to the Authority in a format specified by the Authority that is suitable for hard copy print out. Reports, documents and maps obtained from other agencies in the course of executing a Work Order shall be considered the property of the Authority and will be delivered by Contractor to the Authority upon the Authority’s request and completion of each Work Order.

Documents and Data. Supplier will provide Buyer at no additional cost to Buyer, with (i) a complete listing of recommended spare parts for the Equipment, (ii) operation, maintenance, and training manuals, and (iii) copies of the technical and mechanical specifications relating to the Equipment, including layouts, drawings, diagrams, software and models of the Equipment. In addition, no more than thirty (30) days after receipt of Buyer's PO, Supplier will provide Buyer with any site/facility specifications relating to the requirements necessary for the proper set up of the Equipment, including necessary floor loads to hold the Equipment, height, depth and width requirements, electrical, power, water, and heating requirements, and all other requirements necessary to properly and safely install, set up, maintain and operate the Equipment. Any and all Documentation provided to Buyer shall be written in English. Supplier further agrees, at its own cost and expense, to ensure that any Documentation provided to Buyer accurately reflects the description, design, specifications, etc. of the Equipment as of the Final Acceptance Date.
Documents and Data. Upon receipt of the written Notice of Termination, the terminating Party shall be entitled to receive certain Documents and Data related to RIVERSIDE COUNTY SAFE, as defined in Article 16 and Article 23 of the Primary Agreement and as provided in the Notice of Termination.

Nothing in this Contract shall affect in anyway the Service Provider or third party ownership of all right, title and interest in or to any existing Service Provider or third party system, software, applications, routines, techniques, ideas or formulae which may be used in whole or in part by the Service Provider in performing Services for the Department or any modifications, enhancements or derivative works thereof, which shall remain solely the property of the Service Provider or its licensors, including, without limitation, all copyrights and other intellectual property rights thereto. Documents and Data. On the Closing Date, the Vendor shall deliver to the Purchaser all documents (or copies thereof, except in the case of Contracts) and other data, technical or otherwise, that are in the possession or control of the Vendor and which relate to the Assets and will be necessary or desirable for the conduct of the Business by the Purchaser after the Closing Date including, without limitation, such books of account and financial records as the Purchaser may reasonably request.

Documents and Data. (a) All materials and documents (and any revisions, updates and amendments to them) prepared or developed by the Operations Consultancy Service Provider or its employees, representatives or contractors in connection with the Facilities or the performance of the Services in accordance with this Agreement, including all manuals, data, designs, drawings, plans, specifications, reports and accounts, shall become the property of the Owner when prepared. All such materials and documents (and any revisions, updates and amendments to them), together with any materials and documents furnished to the Operations Consultancy Service Provider or to its contractors by the Owner, shall be delivered to the Owner upon the expiry or earlier termination of this Agreement.
