Distributor Purchases. Distributors designated by Buyer, who are approved by Seller and who meet Seller's normal standards of creditworthiness ("Approved Distributors"), may order and purchase the Products and otherwise act on Buyer's behalf pursuant to this Supply Agreement. Any such Approved Distributor purchases, or any purchases by or on behalf of Buyer's franchisees or licensees shall be governed by the terms of this Supply Agreement (except to the extent inconsistent with any separate agreement between Seller and any such franchisee or licensee) and shall be counted towards Buyer's minimum annual purchase obligation under Paragraph 1. Buyer hereby represents and warrants to Seller that Buyer is representing, and acting as an agent for, Buyer's franchisees and the Approved Distributors in the negotiation of the terms and conditions of this Supply Agreement and that Buyer has the right under its franchise agreements with its franchisees and under its agreements with the Approved Distributors to act in such agency capacity.
