Common use of Disposition of Confidential Information Clause in Contracts

Disposition of Confidential Information. Transfer Agent is required to develop appropriate security measures for the proper disposal and destruction of Confidential Information. Upon termination of this Agreement, Transfer Agent must forward all Confidential Information to Custodian or, with Custodian's permission, Transfer Agent may provide Confidential Information to a successor custodian or destroy the Confidential Information. Transfer Agent shall provide written certification to Custodian that Transfer Agent has forwarded or destroyed, all such Confidential Information in Transfer Agent's possession. Notwithstanding the foregoing, Transfer Agent may retain one archival copy of Confidential Information, to demonstrate compliance with the provisions of this Section and to meet any regulatory retention requirements of Transfer Agent.
