Dispatch Equipment. ▇▇▇▇▇▇▇ agrees that under the terms of this Agreement, CLAWSON shall be solely and exclusively responsible for all costs, expenses and liabilities associated with the purchase, lease, operation, and/or use of any ▇▇▇▇▇▇▇ police, fire, ambulance, or EMT radio or other communication equipment, and TROY shall not be obligated to provide any ▇▇▇▇▇▇▇ personnel with any radio or other communication equipment of any kind. Similarly, ▇▇▇▇ agrees that ▇▇▇▇▇▇▇ shall not be obligated under the terms of this Agreement to supply or provide ▇▇▇▇ with telephones, telephone lines, radios and other communications equipment or property. Notwithstanding the above, ▇▇▇▇ agrees that ▇▇▇▇▇▇▇ is not required to purchase any equipment not mandated by the requirements of Oakland County. However, nothing in this Agreement shall prevent TROY from updating, adding to, removing, replacing, changing and/or eliminating its equipment and/or dispatch system or any aspect of its equipment and/or dispatch system. Each party shall be responsible for its own costs for any changes, removal of and addition to its equipment under any and all circumstances.
Dispatch Equipment. 9.1 The Service Provider shall ensure that the Company (acting through the Company’s Personnel) is given such information, assistance and free and unrestricted access to the Sites and the Assets as the Company and/or the Company’s Personnel may reasonably require in order to install, inspect, maintain, test, repair, replace, renew, alter, use and remove any Dispatch Equipment. 9.2 The Service Provider shall take proper care of the Dispatch Equipment and ensure that it is properly protected and either insured to its full replacement value or, if damaged or destroyed as a result of the Service Provider's failure to do so, pay for the cost of its repair and/or replacement. 9.3 The Service Provider shall notify the Company immediately upon becoming aware of any failure or likely failure of the Dispatch Equipment to monitor the provision of the Services and notify the Company as soon as reasonably practicable upon becoming aware of any adverse conditions which may affect the Dispatch Equipment and comply with the Company’s instructions relating to its care in such conditions. 9.4 The Service Provider shall: 9.4.1 not change the location of the Dispatch Equipment without the Company’s prior written consent; and 9.4.2 comply with any reasonable instructions of the Company in respect of such Dispatch Equipment. 9.5 The Service Provider shall indemnify the Company for any costs incurred by the Company as a result of any failure by the Service Provider to comply with the provisions of Clause 9.
Dispatch Equipment. The equipment to be used by COUNTY at its Sheriff’s Office for dispatching SERVICES contemplated by this MOU shall be provided and maintained by COUNTY at its sole cost and expense. The equipment to be used by the CITIES participating in this MOU in their vehicles and at their respective fire departments shall be provided and maintained by the CITIES at their sole cost and expense. The CITIES and the COUNTY shall will cooperate in ensuring that calls from the public for fire and medical aid services are routed directly to the COUNTY’s Dispatch Center for dispatch to the appropriate responding agency.

  • Customer Equipment “Customer Equipment” means any Customer-owned or provided software, hardware or services that you elect to use in connection with the Service(s). You agree to allow us and our agents the rights to insert CableCARDs and other hardware in the Customer Equipment, send software and/or downloads to the Customer Equipment and install, configure, maintain, inspect and upgrade the Customer Equipment. You warrant you are either the owner of the Customer Equipment or that you have the authority to give us access to the Customer Equipment. You should call Customer Service at ▇-▇▇▇-▇▇▇-▇▇▇▇ to find out if it meets our technical, security and other requirements. We reserve the right to disallow the use of Customer Equipment that we determine is not compatible with our network. We shall have no obligation to provide, maintain, or service Customer Equipment, including, but not limited to, Customer Equipment to which the Company or a third party has sent software or downloads. If you use Customer Equipment, you agree that the following limitation of liability shall apply: THE COMPANY DOES NOT WARRANT THAT CUSTOMER EQUIPMENT WILL ENABLE YOU TO SUCCESSFULLY INSTALL, ACCESS, OPERATE, OR USE THE SERVICE(S). YOU ACKNOWLEDGE THAT ANY SUCH INSTALLATION, ACCESS, OPERATION, OR USE COULD CAUSE CUSTOMER EQUIPMENT TO FAIL TO OPERATE OR COULD CAUSE DAMAGE TO CUSTOMER EQUIPMENT, YOU, YOUR PREMISES OR COMPANY EQUIPMENT. NEITHER THE COMPANY NOR ANY OF ITS AFFILIATES, SUPPLIERS OR AGENTS SHALL HAVE ANY LIABILITY WHATSOEVER FOR ANY SUCH FAILURE OR DAMAGE, INCLUDING LACK OF 911/E911 CAPABILITY OR DIALING ASSOCIATED WITH A SECURITY SYSTEM. YOUR USE OF CUSTOMER EQUIPMENT MAY PREVENT PROVISION OF SERVICE. The foregoing limitation of liability is in addition to and shall not limit any other limitation of liability set forth in this Agreement.

  • Metering Equipment 13.01. Utility will furnish, install, own and maintain metering equipment capable of measuring the flow of kilowatt-hours (kWh) of energy. The Customer's service associated with the CRG will be metered at a single metering point. The metering equipment will measure energy delivered by Utility to Customer and also measure energy delivered by Customer to Utility. Customer agrees to provide safe and reasonable access to the premises for installation of this equipment and its future maintenance or removal.

  • Equipment 26.1 The Supplier is responsible for providing any Equipment which the Supplier requires to provide the Services. 26.2 Any Equipment brought onto the premises will be at the Supplier's own risk and the Buyer will have no liability for any loss of, or damage to, any Equipment. 26.3 When the Call-Off Contract Ends or expires, the Supplier will remove the Equipment and any other materials leaving the premises in a safe and clean condition.
