Discretionary Function Clause Samples

A Discretionary Function clause defines the authority of a party, typically one with managerial or administrative responsibilities, to make decisions or take actions based on their own judgment within the scope of the agreement. This clause often applies to situations where the contract allows for flexibility, such as determining whether to approve a request, allocate resources, or modify certain terms, provided these decisions are made in good faith and within reasonable bounds.
