Common use of DISCLOSURE AND OWNERSHIP OF DOCUMENTS Clause in Contracts

DISCLOSURE AND OWNERSHIP OF DOCUMENTS. The ENGINEER shall deliver to the CITY for approval and acceptance, and before being eligible for final payment of any amount due, all documents and materials prepared by and for the CITY under this Agreement. All written and oral information not in the public domain or not previously known, and all information and data obtained, developed, or supplied by the CITY or at its expense will be kept confidential by the ENGINEER and will not be disclosed to any other party, directly or indirectly, without the CITY’S prior written consent. Such information and data shall be and will remain the CITY’S property and may be reproduced and reused at the discretion of the CITY. All products generated by the ENGINEER for the CITY become the property of the CITY. The CITY may require submission of any electronic file version of reports, data, maps, or other submission of documentation produced for or as a result of this project in addition to paper documents. The CITY and the ENGINEER shall comply with the provisions of the Florida Public Records Law. If the ENGINEER has questions regarding the application of Chapter 119, Florida Statutes, to the ENGINEER’S duty to provide public records relating to this contract, contact the custodian of public records, Xxxxx Xxxxxxx, City Clerk, at 000-000-0000, by email at x.xxxxxxx@xxxxxxxxxxxxxx.xxx or via mail, at 000 Xxxxxxxx Xxxx, Xxxxxx Xxxxx, XX 00000.
