Directed Changes. The Buyer’s Authorized Procurement Representative may from time to time direct changes, in writing, within the general scope of any Contract or Statement of Work. Seller shall comply immediately with such direction and avoid unnecessary costs related thereto.

Directed Changes. The Buyer’s Authorized Procurement Representative may from time to time direct changes, in writing, within the general scope of any Contract in one or more of the following: (i) Specifications, technical requirements and descriptions, specifications, statements of work, drawings or designs; (ii) shipment or packing methods; (iii) place of delivery, inspection, or acceptance; (iv) reasonable adjustments in quantities or delivery schedules or both; and (v) amount of any Buyer-furnished property. Seller shall comply immediately with such direction and avoid unnecessary costs related thereto.
Directed Changes. In the event that, under the Turnkey Contract, the Aggregate Price is increased as a result of Directed Changes (as those terms are defined in the Turnkey Contract), the Parties shall negotiate in good faith an amendment to this Agreement to increase the Commitment Amount accordingly.
Directed Changes. If the NTP is issued for changes prior to settlement of price and/or time, submit proposed schedule revisions to the Contracting Officer within 2 weeks of the NTP being issued. The Contracting Officer will approve proposed revisions to the schedule prior to inclusion of those changes within the project schedule. If the Contractor fails to submit the proposed revisions, the Contracting Officer may furnish the Contractor with suggested revisions to the project schedule. Include these revisions in the project schedule until revisions are submitted, and final changes and impacts have been negotiated. If the Contractor has any objections to the revisions furnished by the Contracting Officer, advise the Contracting Officer within 2 weeks of receipt of the revisions. Regardless of the objections, continue to update the schedule with the Contracting Officer's revisions until a mutual agreement in the revisions is reached. If the Contractor fails to submit alternative revisions within 2 weeks of receipt of the Contracting Officer's proposed revisions, the Contractor will be deemed to have concurred with the Contracting Officer's proposed revisions. The proposed revisions will then be the basis for an equitable adjustment for performance of the work.

Related to Directed Changes

  • Product Changes Vocera shall have the right, in its absolute discretion, without liability to End User, to update to provide new functionality or otherwise change the design of any Product or to discontinue the manufacture or sale of any Product. Vocera shall notify End User at least 90 days prior to the delivery of any Product which incorporates a change that adversely affects form, fit or function (“Material Change”). Vocera shall also notify End User at least 90 days prior to the discontinuance of manufacture of any Product. Notification will be made as soon as reasonably practical for changes associated with regulatory or health and safety issues.
