Common use of Designated Committee Clause in Contracts

Designated Committee. Seller and Purchaser shall establish a committee comprising two (2) individuals who are officers or employees of Seller and two (2) individuals who are or employee officers of Purchaser (collectively, the “Designated Committee”). Until the last Servicing Transfer Date, the Designated Committee shall be responsible for monitoring the performance of the services provided pursuant to the Agreement and this Sale Supplement, providing recommendations for improving the performance of such services and discussing potential solutions to any disputes with respect to the services. Seller and Purchaser shall have the right to replace those of its officers who are serving on the Designated Committee upon written notice to the other party.
