Delivery of Debentures. The Corporation shall, prior to the Closing Date, make all necessary arrangements for the preparation and delivery (and, in the case of definitive certificates, execution of such definitive certificate(s) representing the Debentures) of the Debentures and Debenture Documentation on the Closing Date in the City of Toronto.

Delivery of Debentures. A Dissenting Debentureholder to whom an Offeror’s Notice is sent pursuant to Section 12.3 shall, within 21 days after the sending of the Offeror’s Notice, send his Debenture(s) to the Trustee duly endorsed for transfer or, if the Debentures are represented by a Global Certificate, cause the Depositary to be instructed through one or more Depositary Participants to facilitate the transfer of Debentures Beneficiary held by such person.
