Common use of Delivery of Books and Records Clause in Contracts

Delivery of Books and Records. Sellers shall deliver true and complete copies of all books and records of the Company, including, without limitation, minute books, certified copies of organizational documents (e.g., Articles of Incorporation, Bylaws, etc.), accountant's work papers, stock transfer books and ledgers, a certified shareholder list dated as of a date within five (5) days of the Closing Date, a current DTC report, and all other operational and administrative records.
