Deliveries at Each Closing. (a) As a condition to each Purchaser's obligation to purchase its respective portion of the Purchased Securities, at each Closing all representations and warranties set forth in Article III shall be true and correct in each case, as of the date of this Agreement (other than those that by their terms are to be true and correct as of a specified date, in which case, such representations and warranties shall be true and correct as of such date), and the Company shall deliver to or on behalf of each Purchaser:
