Common use of Definition Clause in Contracts

Definition. For purposes of this Agreement, the term “Operating Expenses” with respect to the Fund is defined to include all expenses necessary or appropriate for the operation of the Fund and including the Advisor’s investment advisory or management fee detailed in the Investment Advisory Agreement, any Rule 12b-l fees and other expenses described in the Investment Advisory Agreement, but does not include any front-end or contingent deferred loads, brokerage fees and commissions, acquired fund fees and expenses, borrowing costs (such as interest and dividend expense on securities sold short), taxes and extraordinary expenses such as litigation. 3.

For purposes of this Agreement, the term “Operating Expenses” with respect to the Fund Fund, is defined to include all expenses necessary or appropriate for the operation of the Fund and including the Advisor’s investment advisory or management fee detailed in the Investment Advisory Agreement, any Rule 12b-l fees and other expenses described in the Investment Advisory Agreement, but does not include any front-end or contingent deferred loads, brokerage fees and commissions, acquired fund fees and expenses, borrowing costs (such as interest and expenses, dividend expense expenses on securities sold short)short sales, taxes and taxes, brokerage commissions, expenses incurred in connection with any merger or reorganization, or extraordinary expenses such as litigation. 3.

Definition. For purposes of this Agreement, the term “Operating Expenses” with respect to the each Fund and Class is defined to include all expenses necessary or appropriate for the operation of the Fund and Funds, including the Advisor’s investment advisory or management fee detailed in the Investment Advisory Agreement, any Rule 12b-l 12b-1 fees and other expenses described in the Investment Advisory Agreement, but does not include any front-end or contingent deferred loads, taxes, leverage interest, brokerage fees and commissions, acquired fund fees and expensesexpenses incurred in connection with any merger or reorganization, borrowing costs (such as interest and dividend expense on securities sold short), taxes and or extraordinary expenses such as litigation. 3.

Definition. For purposes of this Agreement, the term “Operating Expenses” with respect to the Fund Funds is defined to include all expenses necessary or appropriate for the operation of the Fund and including the Advisor’s investment advisory or management fee detailed in the Investment Advisory Agreement, any Rule 12b-l fees Management Agreement and other expenses described in the Investment Advisory Management Agreement, but does not include any front-end or contingent deferred loads, any Rule 12b-l fees, taxes, leverage interest, brokerage fees and commissions, acquired fund fees and expensesexpenses incurred in connection with any merger or reorganization, borrowing costs (such as interest and dividend expense on securities sold short), taxes underlying fund fees and expenses or extraordinary expenses such as litigation. 3.

For purposes of this Agreement, the term “"Operating Expenses” " with respect to the Fund Portfolio, is defined to include all expenses necessary or appropriate for the operation of the Fund and Portfolio, including the Advisor’s 's investment advisory or management fee detailed in the Investment Advisory Agreement, any Rule 12b-l 12b-1 fees and other expenses described in the Investment Advisory Agreement, but does not include any front-end or contingent deferred loads, taxes, leverage interest, brokerage fees and commissions, acquired fund fees and expensesexpenses incurred in connection with any merger or reorganization, borrowing costs (such as interest and dividend expense on securities sold short), taxes and or extraordinary expenses such as litigation. 3.

For purposes of this Agreement, the term “Operating Expenses” with respect to the a Fund is defined to include all expenses necessary or appropriate for the operation of the Fund and including the Advisor’s investment advisory or management fee detailed as described in the Investment Advisory Agreement, any Rule 12b-l fees and other expenses described in the Investment Advisory Agreement, but does not include any Rule 12b-1 fees, front-end or contingent deferred loads, taxes, interest, brokerage fees and commissions, acquired fund fees and short sale dividend expenses, borrowing costs (such as interest and dividend expense on securities sold short), taxes and expenses incurred in connection with any merger or reorganization or extraordinary expenses such as litigation. 3.
